These Terms of Service ("Terms") govern your access to and use of the ShopiSpy website, dashboard and related services (together, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
We use a minimal set of cookies that are strictly necessary to keep you signed in and to operate the Service (for example, session cookies used by Microsoft Entra ID authentication). We do not use advertising, marketing, or third-party analytics cookies. By using the Service, you consent to the use of these strictly necessary cookies.
The Service is available to both businesses (B2B) and individual consumers (B2C) worldwide. You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. If you are using the Service on behalf of a company, you confirm you are authorized to bind that company to these Terms.
ShopiSpy provides a competitive-intelligence dashboard that aggregates and indexes information from publicly accessible Shopify stores and publicly accessible social media and advertising placements (such as TikTok, Instagram, YouTube, Facebook and Meta Ads), together with a reverse image search tool ("Competitors") that matches a product photo against our index.
All data shown in the Service is sourced from information that is publicly available at the time it was collected. We are not affiliated with, endorsed by, or connected to Shopify Inc., Meta Platforms Inc., TikTok, Instagram, YouTube, or any store or brand shown in the Service.
No warranty on data accuracy. Store listings, pricing, sales figures, product counts and any other data are provided "as is" and "as available". We do not guarantee that the data is accurate, complete, current, or fit for any particular purpose, and we are not responsible for business decisions made based on it.
We aim to refresh store and product data every day, but we do not guarantee uninterrupted availability or an uninterrupted daily refresh. From time to time, our database may not be updated for 24-48 hours while we carry out maintenance or improvements, and in rare cases of a technical incident this may extend for longer. Some links shown in the Service may lead to store pages or listings that have since been taken down, changed, or made private by their owner - this is outside of our control and does not constitute a defect in the Service.
Access to the Service requires an account. Authentication is handled through Microsoft Entra ID. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at shopispy.us@gmail.com if you suspect unauthorized use of your account.
The Service is offered on a paid subscription basis (Basic, Standard, Pro, Ultra). Prices and included features are listed on our pricing page and may change from time to time; changes will not affect a billing cycle already in progress.
Our order process is conducted by our online reseller, Paddle.com. Paddle.com Market Ltd (or its applicable local affiliate) is the Merchant of Record for all orders placed through the Service. Paddle provides all customer service inquiries related to billing and handles returns in accordance with Paddle's own terms and policies. Your payment details are processed and stored by Paddle, not by us - we never receive or store your full card details.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You can cancel at any time from your account portal; cancellation takes effect at the end of the current billing period.
Invoices for your purchases are issued by Paddle and made available through your account. It is your responsibility to provide us and Paddle with accurate and up-to-date billing information; we are not responsible for an incorrect invoice resulting from inaccurate information you provided.
Except where required by mandatory law, all subscription fees are non-refundable, including for partial billing periods or unused data. By subscribing, you expressly request that we begin providing the Service immediately, and you acknowledge that:
This does not affect any statutory rights you may have that cannot be excluded under the mandatory consumer protection law of your country of residence (for example, in respect of digital content that is faulty or not as described).

The Service, including its software, design, branding, and underlying index, is owned by the Company and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service; you receive a limited, non-exclusive, non-transferable right to use the Service for your own business or personal purposes during your active subscription.
To the maximum extent permitted by applicable law, the Service is provided "as is" without warranties of any kind, express or implied. We are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, or data, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
To the extent permitted by law, our total liability arising out of or relating to the Service shall not exceed the amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited or excluded under applicable mandatory law (e.g. liability for gross negligence, wilful misconduct, or death or personal injury caused by our negligence).
We will not be liable for any failure or delay in performing the Service caused by events beyond our reasonable control, including outages of our cloud or payment infrastructure providers, internet or power outages, natural disasters, war, or acts of government. We will notify you of any such event as soon as reasonably possible and resume performance once the event has ended.
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service if you breach these Terms, or if required to do so by law. Upon termination, your right to use the Service ends immediately; sections of these Terms which by their nature should survive termination (including Sections 8, 10, 11 and 14) will continue to apply.
These Terms are governed by the laws of Poland, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts competent for the Company's registered seat in Poland.
If you are a consumer habitually resident in the European Union, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence that cannot be derogated from by agreement.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Service and supersede any prior agreements between you and us relating to the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting a notice on the Service or updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
